1. Acceptance of Terms
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. Description of Service
LingPie provides a cloud-based localization platform that helps teams manage translation keys, collaborate on content, connect integrations, and export localized strings. Features, limits, and availability may vary by plan and may change over time as we improve the product.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and keep it up to date. Notify us promptly if you suspect unauthorized access to your account. You may invite team members to your organization. You are responsible for managing roles, permissions, and access within your organization.
4. Subscriptions, Billing, and Trials
Paid plans, add-ons, and trials are billed according to the pricing shown at checkout or in your account. Fees are generally charged in advance on a recurring basis unless otherwise stated. You authorize us and our payment processors to charge your selected payment method. Unless required by applicable law or stated otherwise at purchase, fees are non-refundable. We may change plan prices or features with reasonable notice. If you do not agree to a change, you may cancel before it takes effect. Free tiers and trials may include usage limits. When a trial ends or a subscription lapses, access to paid features may be restricted while your data remains subject to our retention practices.
5. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes, without limitation: • Violating applicable laws or third-party rights • Uploading malware or attempting to disrupt, probe, or overload the Service • Accessing accounts, projects, or data without authorization • Reverse engineering or scraping the Service except as permitted by law • Reselling or sublicensing the Service without our written consent • Using the Service to store or transmit unlawful, infringing, or abusive content We may investigate violations and suspend or terminate access to protect the Service and other users.
6. Your Content and Data
You retain ownership of translation keys, strings, files, glossaries, and other content you submit to the Service ("Customer Content"). You grant LingPie a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, comply with law, and enforce these Terms. You are responsible for ensuring you have the rights to upload and use Customer Content, including any personal data it contains. You must configure the Service appropriately for your compliance obligations.
7. Intellectual Property
LingPie and its licensors own the Service, including software, branding, documentation, and all related intellectual property, except for Customer Content. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service in accordance with these Terms.
8. Third-Party Services
The Service may integrate with third-party tools such as authentication providers, payment processors, machine translation APIs, and source-control systems. Your use of third-party services is governed by their terms and policies. LingPie is not responsible for third-party services and does not guarantee their availability or performance.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINGPIE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSLATIONS OR AI-GENERATED OUTPUT WILL BE ACCURATE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINGPIE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE LESSER OF (A) THE AMOUNTS YOU PAID TO LINGPIE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
11. Indemnification
You will defend, indemnify, and hold harmless LingPie and its affiliates from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure for us, or if required by law. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will remain in effect.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will provide notice through the Service or by other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
14. Governing Law and Disputes
These Terms are governed by the laws applicable in the jurisdiction where LingPie operates, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country provide otherwise. Any dispute arising from these Terms or the Service should first be addressed by contacting us so we can attempt to resolve it informally.
